1. These terms and what they cover
1.1 Agreement
These Terms of Use (“Terms”) govern your access to and use of the website at www.sayarisilicon.com and any page or subdomain that links to them (the “Site”). The Site is operated by Sayari Silicon Limited, a company incorporated in the Republic of Kenya (“Sayari Silicon”, “we”, “us”, “our”).
By using the Site you agree to these Terms. If you do not agree to them, please do not use the Site.
1.2 What these Terms do not cover
This is important, so it is stated plainly rather than buried:
- Our products. These Terms do not govern the use of any Sayari Silicon software-as-a-service platform, mobile application or other product. Each product is or will be governed by its own terms of service and its own privacy notice, published on that product's own website or in its app store listing. Nothing on this Site constitutes a licence to use any product.
- Our commercial agreements. These Terms do not govern any subscription, licence or other commercial arrangement between us. Those are governed by a separate written agreement — a subscription agreement, order form, purchase order or similar signed document — or by the terms of the relevant product.
- Order of precedence. If you have a signed agreement with us, or you are using a product under its own terms, that agreement or those product terms prevail over these Terms in respect of the subject matter they cover. These Terms continue to apply to your use of the Site itself.
1.3 Nothing here is an offer or advice
Information on the Site is provided for general information only. It does not constitute an offer capable of acceptance, a commitment to provide services on any particular terms, a quotation, or professional, legal, financial or technical advice. Do not act on it without taking advice appropriate to your circumstances.
2. Permitted use of this site
You may view, download and print pages of the Site for your own information and internal business purposes, and you may quote from or link to it provided you attribute it to Sayari Silicon and do not alter the meaning of what you quote.
You must not:
- use the Site for any unlawful, fraudulent or deceptive purpose, or in breach of any applicable law, including the Computer Misuse and Cybercrimes Act, 2018 of Kenya;
- attempt to gain unauthorised access to the Site, its server, or any system or network connected to it, or probe, scan or test its vulnerability without our prior written consent;
- introduce any virus, worm, malicious code or other material designed to harm, disrupt or interfere with the Site or any user of it;
- use any robot, spider, scraper or other automated means to access, copy, index or monitor any part of the Site, or to extract or compile its content — other than a search engine operating in accordance with our robots.txt file;
- impose an unreasonable load on our infrastructure, or interfere with the proper working of the Site or its availability to others;
- reproduce, republish, sell, rent, sub-licence or systematically extract material from the Site for commercial exploitation, or use it to build or train a competing product or dataset, without our prior written consent;
- remove, obscure or alter any copyright, trade mark or other proprietary notice on the Site;
- use the Site to send unsolicited commercial communications, or to harvest email addresses or other contact details;
- misrepresent your identity or your affiliation with any person, or state or imply that Sayari Silicon endorses you, your organisation or your statements without our prior written consent.
We may investigate any suspected breach of this section and take the steps we consider appropriate, including restricting or blocking access, disclosing your identity to law enforcement where we are required or lawfully permitted to, and pursuing legal remedies.
3. Intellectual property
The Site and all material on it — including text, graphics, layout, design, code, illustrations, photographs and audiovisual material — is owned by or licensed to Sayari Silicon and is protected by copyright and other intellectual property laws of Kenya and other countries. All rights not expressly granted in section 2 are reserved.
“Sayari Silicon”, “Innovating Infinity”, our orbit mark and our other names, logos and marks are our trade marks, whether registered or not. You may not use them without our prior written consent, except to refer accurately and fairly to us or our products in a manner that does not suggest endorsement or affiliation, and does not modify the marks. Third-party names and marks appearing on the Site remain the property of their respective owners and are used for identification only.
If you believe material on the Site infringes your intellectual property rights, write to legal@sayarisilicon.com identifying the material, the right you claim, and the basis of your claim, and we will investigate.
4. Accuracy of information
We take reasonable care to make sure the Site is accurate and current when published, but we do not warrant that it is complete, accurate or up to date, and we may change any of it at any time without notice.
Statements about the future are not commitments. The Site may describe products, capabilities, plans or timelines that are in development or under consideration. Those statements reflect our intentions at the time of publication only, are subject to change, and are not promises, representations or warranties. In particular, and as the Site states, our products are in development and are not generally available; nothing on the Site should be relied on as a commitment that any product will be released, released by a particular date, or released with any particular feature.
5. Availability and changes
We aim to keep the Site available but we do not guarantee that it will be available uninterrupted, timely, secure or error-free. We may suspend, withdraw, restrict or change all or any part of the Site, temporarily or permanently, without notice and without liability. We may also amend these Terms at any time by posting the amended version on this page with a revised “Last updated” date; the amended Terms apply to your use of the Site from the date they are posted, so please check them when you return.
6. Third-party links
The Site links to websites and services operated by others, including social media platforms. We provide those links for convenience. We do not control, endorse or accept responsibility for the content, products, services, security or privacy practices of any linked site, and your use of it is governed by that site's own terms. Follow such links at your own risk.
7. Disclaimers and liability
7.1 The Site is provided as it is
To the fullest extent permitted by applicable law, the Site and its content are provided “as is” and “as available”, and we exclude all conditions, warranties, representations and other terms which might otherwise be implied by statute, common law or otherwise — including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement.
7.2 Limits on our liability
To the fullest extent permitted by applicable law, we will not be liable to you for:
- any indirect, special, incidental, consequential or punitive loss or damage;
- loss of profit, revenue, business, contracts, anticipated savings, goodwill, reputation or opportunity;
- loss or corruption of data, or the cost of procuring substitute information or services;
- any loss arising from your reliance on information on the Site, or from the Site being unavailable, interrupted or modified;
- any virus, denial-of-service attack, malicious code or other harmful material that you may encounter through the Site or through any linked site, notwithstanding the safeguards we maintain.
Where our liability cannot be excluded, our total aggregate liability arising out of or in connection with your use of the Site — whether in contract, tort (including negligence), statute or otherwise — is limited to KES 50,000 (fifty thousand Kenya Shillings) or the equivalent in your local currency.
7.3 What we do not exclude
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited. In particular, the limit in section 7.2 does not apply to our obligations or liability under the Data Protection Act, 2019 or any other applicable data protection law, which we do not seek to exclude, limit or contract out of. If you are a consumer, these Terms do not affect your rights under the Consumer Protection Act, 2012 of Kenya or under any other consumer protection law of the country in which you habitually reside that applies to you and cannot be excluded by agreement.
7.4 Business use
If you use the Site in the course of a business, you agree that the allocation of risk in this section is reasonable given that the Site is provided free of charge and for information only.
8. Indemnity
You agree to indemnify us against any claim, demand, loss, liability, cost or expense (including reasonable legal costs) that we suffer arising out of your breach of these Terms or your unlawful or unauthorised use of the Site. This indemnity is limited to those matters; it does not extend to your general dealings with us or to any matter covered by a separate signed agreement between us. We will notify you of any claim to which this section applies, allow you a reasonable opportunity to participate in its defence, and not settle it without your consent where the settlement would impose an obligation on you.
9. Privacy
Our handling of personal information is described in our Privacy Policy, which forms part of these Terms. Please read it. It also explains that our products publish their own privacy notices separately, and how information from our products may be used at company level. The third parties that process personal information on our behalf for this website are named at Processors and sub-processors.
Questions about data protection, and requests to exercise a data-protection right, go to privacy@sayarisilicon.com. Suspected vulnerabilities and compromised accounts go to security@sayarisilicon.com, not to the address in section 13.
10. Unsolicited submissions
We welcome enquiries, but please do not send us confidential information, trade secrets or unsolicited proposals, business plans, ideas or creative material through the Site.
If you send us an idea, suggestion, comment or other material about our products or business, you agree that we may use it without restriction, attribution or payment, that no confidential relationship arises between us as a result, and that we have no obligation to keep it confidential, review it, respond to it or return it. We may already be working on something similar independently, and nothing in your submission restricts what we may develop. This section does not affect your rights in respect of your personal information, which are described in our Privacy Policy, and does not apply to material provided under a separate written confidentiality or services agreement with us.
11. General
- Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between us in respect of your use of the Site, and supersede any prior understanding about it. This does not limit any separate signed agreement between us, or any liability for fraudulent misrepresentation.
- Severability. If any provision is held invalid or unenforceable, it is to be applied to the maximum extent permitted, or severed if that is not possible, and the remaining provisions continue in full force.
- No waiver. Our failure or delay in enforcing any provision is not a waiver of it or of any other provision.
- Assignment. You may not assign or transfer your rights under these Terms. We may assign ours to an affiliate or in connection with a merger, acquisition, reorganisation or sale of assets.
- No third-party rights. These Terms do not confer rights on anyone who is not a party to them.
- Force majeure. We are not liable for any failure or delay caused by an event beyond our reasonable control, including power or network failure, failure of a hosting or telecommunications provider, natural disaster, epidemic, civil unrest, industrial action or act of government.
- Language. These Terms are written in English. Any translation is provided for convenience only, and the English version governs.
- Survival. Sections 3, 7, 8, 10, 11 and 12 survive any cessation of your use of the Site.
12. Governing law and disputes
These Terms, their subject matter and their formation are governed by the laws of the Republic of Kenya. You and we agree that the courts of Kenya have exclusive jurisdiction over any dispute arising out of or in connection with them.
If you are a consumer, this section does not deprive you of the protection of the mandatory law of the country in which you habitually reside, or of any right you have to bring proceedings in the courts of that country, where that law applies to you and cannot be excluded by agreement.
Before commencing proceedings, we ask — but do not require — that you write to legal@sayarisilicon.com so that we can try to resolve the matter directly.
